ARMA Signs Management Agreement with New Administrator for Russian-Owned Stake in Seized Pharma Giant “VENTA.LTD”

The Asset Recovery and Management Agency (ARMA) previously announced a tender to manage the seized assets of LLC “VENTA.LTD” (representing a 24% stake), one of the top three pharmaceutical distributors in Ukraine. The asset was seized and transferred to ARMA for management by a decision of the Pechersk District Court.

During this time, ARMA conducted an open competitive selection process, carried out thorough due diligence on all applicants, and finalized the auction via the Prozorro system. As a result, LLCI.K.VEL” won the competition and has now signed a management agreement with ARMA.

Under the terms of the signed agreement, the new manager will:

  • ensure transparent financial reporting;
  • preserve existing jobs;
  • and transfer 145% of all income generated from the asset directly to the State Budget of Ukraine.

It is important to note that effective management of such assets, including the stake in VENTA.LTD, serves as a vital tool for exerting economic and sanctions pressure on the aggressor state.

Currently, the legal mechanism for managing corporate rights linked to the aggressor state remains blocked.

ARMA emphasizes the urgent need to unlock full-fledged management of such assets. This will become possible upon the adoption of draft law 13268. Passage of this legislation will enable ARMA not only to preserve and manage high-value assets but also to direct profits from their administration and sale toward strengthening Ukraine’s economy, defense capabilities, and the recovery of affected territories.
